Morinda announces an expansion of the New Age Beverage Stock Incentive Program to now include all Jade-Level IPCs

We are pleased to announce the expansion of the New Age Stock program to now include all Jade-level Independent Product Consultants (IPCs). Due to the unprecedented demand for expansion of the program, and in response to the feedback and recommendations of our IPC leaders from around the world, the decision was made to expand the program such that more of our system and valued partners could participate in the financial upside of our great company.
Beginning in February, 2019, and extending through June, 2019, we will add a stock incentive of 50 shares at the Jade level. The opportunity to earn double the amount of shares will last through June 30, 2019, which means every Jade-level IPC will be able to qualify to receive up to 100 shares of New Age Beverages stock (NASDAQ: NBEV).

Program Details
The incentive for Jades will be subject to the same conditions applicable to the entire program for all IPCs. The incremental growth qualifications, maintenance, and vesting requirements to receive shares of NBEV stock at the Jade level include:
First qualification month for Jade must occur by June 30, 2019.
First month in February 2019 to June 2019 will receive double shares at the highest first month or quarter qualification level completed by June 30, 2019.
Beginning with the first month qualification for Jade the IPC will have six months to complete the four initial qualification months. Upon initial four-month maintenance, months must be consecutive.
Maintenance/Vesting Requirements:
Upon completion of four-months, Morinda IPCs will receive a certificate of NBEV share eligibility at the highest level achieved (not cumulative). New Age Shares will be reserved for IPCs and subject to a four-month performance vesting schedule with Jade qualifiers required to maintain a minimum of personal paid-as Jade above baseline in months 5-8.
Upon completion of the vesting, the IPC will be issued shares of NBEV company stock.
New Age share grant conditions:
1) Subject to Morinda's legitimate business policy applicable to all Morinda IPCs.
2) Subject to number of available shares allocated by New Age for the incentive. If number of qualifiers exceeds number of allocated shares to the IPC program or total authorized shares, grants may be pro-rated.
3) Subject to local securities and exchange control rules which may restrict the receipt of shares or other consideration by IPCs in certain countries.
4) International IPCs must provide a W8-BEN form (W9 form for US IPCs) to New Age upon receipt of the certificate of share eligibility and establish a brokerage account in order to receive the shares upon vesting.
5) The fair market value of NBEV stock received will be taxable to the IPC. IPCs are responsible for the payment of all applicable income and other taxes and the proper reporting of the income in their local country.
6) New Age reserves discretion under the share incentive plan to provide other forms of remuneration instead of NBEV shares.
7) New Age stock incentive plan is not a permanent part of the Morinda IPC compensation plan and qualification for any eligibility in the plan terminates on December 31, 2019.
8) Morinda IPC participation in the plan is voluntary and subject to all conditions and restrictions associated with the incentive.
